They establish a framework governing the interactions between our platform and the dental professionals. By defining the rights and responsibilities of both parties, our terms aim to provide legal protection and ensure a transparent relationship.
1. Use of Our Website and Services
You agree to use our website and Services only for lawful purposes.
You may not:

Attempt unauthorized access to systems

Use our Services for fraudulent activities

We reserve the right to suspend or terminate access for violations of these Terms.
2. Service Relationship
ZenHub provides administrative support services to dental practices, including but not limited to:

Dental billing and collections

Insurance eligibility verification

Credentialing and fee negotiation

Contact center and call handling
-
Payment posting and AR follow-up
-
Patient communication support
These Services are provided under a separate services agreement, onboarding form, or contract executed between ZenHub and the dental practice (“Client”).
Nothing in these Terms creates an employer–employee relationship, partnership, or joint venture.
3. HIPAA Compliance
ZenHub complies with applicable U.S. healthcare privacy laws, including HIPAA.
When Services involve access to Protected Health Information (PHI):

A Business Associate Agreement (BAA) will be executed

PHI will be accessed only as required to perform contracted services
-
PHI will not be sold, shared, or used for marketing without authorization
Clients are responsible for ensuring compliance on their end, including secure transfer of data.
4. Client Responsibilities
To ensure quality service delivery, Clients agree to:

Provide accurate practice, provider, and patient data

Maintain access to required software (PMS, clearinghouses, insurance portals, etc.)

Communicate changes in insurance plans, fee schedules, staff, or processes
-
Respond to ZenHub requests for clarification when required
-
Ensure compliance with relevant patient and insurance regulations
ZenHub is not responsible for delays or inaccuracies caused by incomplete, outdated, or incorrect information provided by the Client.
5. Fees, Payments, and Billing
Fees for Services are outlined in a separate agreement, proposal, or contract.
Unless otherwise stated:

Invoices are due upon receipt

Late payments may incur service delays or suspension

Pricing may be adjusted with written notice
For subscription-based Services, fees renew automatically unless canceled according to contract terms.
6. 30-Day Free Service Trial (If Applicable)
If ZenHub offers a free service trial:

It applies only to eligible services stated at the time of enrollment

No payment is required during the trial
-
The trial may be canceled anytime before the end date
-
Continued use after the trial period constitutes acceptance of paid service terms
ZenHub reserves the right to modify or withdraw free trial offers at any time.
7. Confidentiality
Both parties agree to maintain confidentiality of all proprietary, business, and patient information exchanged.
This includes:

Patient records (PHI)

Practice financial data
-
Fee schedules
-
Internal processes
-
Staff and operational details
Confidential information may not be disclosed except as required by law or contract.
8. Intellectual Property
All content, branding, website materials, training documentation, and software used by ZenHub remain our exclusive property.
Clients may not:

Copy or distribute materials
-
Claim ownership of ZenHub content
-
Reverse-engineer or replicate our processes
Any intellectual property created for a Client remains ZenHub’s unless agreed otherwise in writing.
9. Limitation of Liability
To the maximum extent permitted by law:

ZenHub is not liable for indirect, incidental, or consequential damages

ZenHub is not responsible for losses resulting from incorrect data provided by the Client
-
ZenHub’s total liability is limited to the amount paid by the Client in the previous 3 months
ZenHub does not guarantee insurance payments, approval of claims, or revenue outcomes, as payor rules vary.
10. Service Availability
While we aim for uninterrupted operations:

Occasional downtime may occur due to maintenance, updates, or third-party issues
-
ZenHub is not liable for outages caused by internet providers, PMS systems, portals, or insurer websites
We strive to resolve technical interruptions promptly.
11. Termination
Either party may terminate services according to the terms of the service agreement.
ZenHub may immediately terminate access if:

The Client engages in misuse
-
Payments are overdue
-
Security or compliance risks are identified
-
A breach of these Terms occurs
Upon termination, all confidential information and PHI will be returned or securely destroyed.
12. Third-Party Links
Our website may include links to external sites.
We are not responsible for:

The content on those sites
-
Their privacy practices
-
Their terms or policies
Use of third-party sites is at your own risk.
13. Governing Law
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles.
Any disputes will be handled in courts located in Collin County or Denton County, Texas, unless otherwise agreed in writing.
14. Updates to These Terms
We may update these Terms at any time.
Changes become effective immediately upon posting.
Continued use of our website or services signifies acceptance of the revised Terms.
